What is a pay less notice?
A pay less notice communicates that the payer intends to pay less than the notified sum. The required deadline and form depend on the contract and statutory payment framework.
Why the notice matters
The construction payment framework generally requires payment of the notified sum by the final date for payment unless a valid pay less notice is given. Whether a notice qualifies depends on its content, timing and service, not merely its title. If you receive one, read it promptly and compare its stated amount and calculation with the contract and payment record.
Check the date carefully
The contract should set the date by which the notice must be given and identify the final date for payment. Record both. The pay-less period may be expressed as days before the final date. The statutory Scheme provides fallback terms only in defined situations and jurisdiction. Do not copy a period from another project or a generic template.
Check what it says and how it arrived
A notice normally needs to state the sum the payer considers due at the relevant date and the basis for that calculation. Check recipient, delivery method, service address, contract form and whether prior notices affect the position. Save the original email or document and delivery evidence.
If you disagree
Compare the notice line by line with the application, measured work, agreed variations, retention and deductions. Follow the dispute and adjudication provisions in your contract and take qualified advice where a significant sum or imminent deadline is involved. Do not rely on a date-only tool to decide your legal response.

Common questions
Does a pay less notice cancel the whole payment?

Can I send a pay less notice after the deadline?
